Vendor Terms

Welcome to Entrepreneur! These Vendor Terms and Conditions ("Terms") apply to any vendor, service provider, or third-party ("Vendor") who offers services or products in connection with the WhatsApp Business API (WABA) approval process or the user panel services provided by Entrepreneur. By entering into an agreement with Entrepreneur or providing services to us, you agree to be bound by these Terms. 1. Acceptance of Terms By submitting a proposal, entering into a contract, or providing services to Entrepreneur, you agree to these Terms and Conditions and acknowledge that you have read and understood the entire document. 2. Services Provided As a Vendor, you may be asked to provide the following services or products in connection with the Entrepreneur platform: WhatsApp Business API (WABA) Approval Services: You may assist in helping businesses obtain approval for using the WhatsApp Business API. User Panel Integration or Development: You may be responsible for integrating, developing, or maintaining the user panel that users interact with on the platform. Technical Support or Consultation: Providing technical support, consulting, or troubleshooting services for the WhatsApp Business API or related technologies. 3. Vendor Obligations As a Vendor, you agree to the following obligations: Quality and Professionalism: You will perform all services or provide all products in a professional, timely, and high-quality manner, in accordance with the industry standards and the specifications agreed upon with Entrepreneur. Compliance with Laws and Regulations: You will comply with all applicable laws, regulations, and industry standards, including those of Meta (Facebook) and any other regulatory bodies. Non-Interference: You will not interfere with Entrepreneur’s operations, including its relationships with users or other vendors. Data Protection: If you handle any personal or sensitive data as part of your services, you agree to comply with Entrepreneur's data protection policies and all applicable data protection laws, including the GDPR or any local privacy laws. 4. Vendor Responsibilities You are responsible for ensuring that: Services and Products Meet Specifications: All services or products you provide meet the specifications agreed upon with Entrepreneur and are delivered on time. Intellectual Property: Any intellectual property (IP) that you develop, create, or provide under this agreement shall be the property of Entrepreneur, unless otherwise agreed upon in writing. Confidentiality: You will maintain the confidentiality of any confidential information related to Entrepreneur and its clients. This includes not disclosing, using, or allowing others to use proprietary or sensitive information without prior consent. 5. Payment and Fees Payment Terms: Payment for services or products will be made in accordance with the agreed terms outlined in a separate contract or agreement between the Vendor and Entrepreneur. Payments will be made after the services are successfully rendered, unless otherwise stated. Invoices: Vendors must submit invoices in accordance with the terms agreed upon. Invoices should include all necessary details, such as service descriptions, amounts, and payment instructions. Late Payments: If payments are not made on time, the Vendor may be entitled to interest on the overdue amount, as agreed upon in the separate contract or agreement. 6. Termination of Agreement Either party may terminate the Vendor agreement by providing [Insert notice period] written notice to the other party. Termination may occur for the following reasons: Breach of these Terms or the contractual agreement. Failure to deliver services or products as specified. Violation of laws or regulations. At the discretion of Entrepreneur, with or without cause. Upon termination, the Vendor agrees to return all property, confidential information, and any other materials belonging to Entrepreneur. Outstanding payments for services rendered up until the termination date will be paid in accordance with the agreement. 7. Limitation of Liability Entrepreneur will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the Vendor's services or products, even if Entrepreneur has been advised of the possibility of such damages. Vendor agrees to indemnify and hold Entrepreneur harmless from any claims, damages, losses, or legal expenses arising out of the Vendor’s performance of services, breach of these Terms, or any violation of applicable laws. 8. Confidentiality and Non-Disclosure Both Entrepreneur and the Vendor agree to keep confidential any proprietary, confidential, or business-sensitive information disclosed during the course of their relationship. This includes, but is not limited to, customer information, technology, business plans, and financial details. The confidentiality obligations will survive the termination or expiration of this agreement. 9. Force Majeure Neither party will be held liable for failure or delay in performance of their obligations under these Terms if the delay or failure is caused by a force majeure event, including but not limited to natural disasters, acts of government, war, strikes, or any other unforeseeable and unavoidable event. 10. Independent Contractor Status The Vendor is an independent contractor and is not an employee, partner, or joint venturer of Entrepreneur. The Vendor shall not have the authority to bind Entrepreneur in any agreement or make any commitments on behalf of Entrepreneur. 11. Governing Law These Terms shall be governed by and construed in accordance with the laws of [Your Country/Region]. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in [Your Location]. 12. Amendments to the Terms Entrepreneur reserves the right to modify, update, or change these Vendor Terms and Conditions at any time. Vendors will be notified of any significant changes.
